Terms and Conditions for Pebble

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of Pebble, a software-as-a-service (SaaS) accounting platform operated by Creatives Guild (Pty) Ltd (Registration Number: 2014 / 266204 / 07), a company registered in South Africa (“we”, “our”, “us”).

By creating an account or using Pebble, you agree to be bound by these Terms and enter into a legally binding agreement with Creatives Guild (Pty) Ltd.

2. Eligibility

You must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding agreement
• Use Pebble for lawful business purposes only

3. Account Registration and Responsibilities

When you create an account, you agree to:

• Provide accurate and complete information
• Keep your login credentials secure
• Notify us immediately of any unauthorized access

You are fully responsible for all activities under your account.

4. Services Provided

Pebble provides tools to:

• Create and manage invoices and quotes
• Import and process financial data (e.g., bank statements)
• Manage payroll and employee data
• Communicate with customers and staff
• Generate financial reports

We may update, modify, or discontinue features at any time.

5. User Obligations

You agree not to:

• Use the platform for illegal, fraudulent, or harmful activities
• Upload or process unlawful or infringing content
• Attempt to gain unauthorized access to systems
• Interfere with the platform’s performance or security

You are responsible for ensuring compliance with applicable laws, including tax, accounting, and employment regulations.

6. Fees and Payments

• Pebble operates on a subscription and/or usage-based pricing model
• All fees are billed in advance unless otherwise stated
• Payments are processed by Creatives Guild (Pty) Ltd
• All payments are non-refundable unless required by law
• Failure to pay may result in suspension or termination of your account

7. Data Ownership and Responsibilities

You retain ownership of all data you input into Pebble.

You grant Creatives Guild (Pty) Ltd a limited license to process your data solely to provide the services.

You are responsible for:

• The accuracy of your financial and business data
• Compliance with applicable laws and regulations

Pebble does not provide legal, tax, or financial advice.

8. Data Protection and Privacy

Your use of Pebble is also governed by our Privacy Policy.

We implement reasonable security measures, but you acknowledge that:

• No system is completely secure
• You use the platform at your own risk

9. Third-Party Services

Pebble may integrate with third-party services (e.g., banking APIs, payment gateways, email providers).

We are not responsible for:

• The availability or performance of third-party services
• The data practices or policies of third parties

10. Service Availability

We aim to provide reliable service but do not guarantee:

• Uninterrupted or error-free operation
• Continuous availability

We may perform maintenance or updates that temporarily affect access.

11. Intellectual Property

All rights, title, and interest in Pebble (excluding user data) remain the property of Creatives Guild (Pty) Ltd, including:

• Software
• Branding
• Design
• Content

You may not:

• Copy, modify, or distribute the platform
• Reverse engineer or attempt to extract source code

12. Limitation of Liability

To the fullest extent permitted by law:

Creatives Guild (Pty) Ltd shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss or corruption of data
• Errors in financial reporting resulting from user input

Our total liability for any claim arising out of or related to the use of Pebble is limited to the total amount paid by you to us in the 12 months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Creatives Guild (Pty) Ltd, its directors, employees, and affiliates from any claims, damages, or losses arising from:

• Your use of the platform
• Your violation of these Terms
• Your breach of applicable laws or regulations

14. Suspension and Termination

We may suspend or terminate your account if:

• You violate these Terms
• Payment is overdue
• Required by law or regulatory authority

You may terminate your account at any time.

Upon termination:

• Your access will be revoked
• Data may be deleted after a retention period, subject to legal obligations

15. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

16. Dispute Resolution

Before initiating legal proceedings, both parties agree to:

• Attempt to resolve disputes amicably
• Engage in good-faith negotiations

17. Changes to Terms

We may update these Terms from time to time.

Where changes are material, we will notify users. Continued use of Pebble constitutes acceptance of the updated Terms.

18. Force Majeure

We are not liable for failure or delay in performance caused by events beyond our reasonable control, including:

• Natural disasters
• Internet or infrastructure outages
• Government actions or regulations

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Creatives Guild (Pty) Ltd regarding Pebble.

• Does not replace a qualified accountant, tax practitioner, or auditor
